Important Notice
PLEASE READ THESE CREATOR & INFLUENCER PROGRAM TERMS OF SERVICE CAREFULLY BEFORE APPLYING FOR, ACCESSING, OR PARTICIPATING IN THE MODACHRON CREATOR & INFLUENCER PROGRAM.
THESE TERMS ARE A LEGALLY BINDING AGREEMENT BETWEEN YOU AND ModaChron (“MODACHRON,” “WE,” “US,” OR “OUR”).
BY APPLYING TO, ACCESSING, OR PARTICIPATING IN THE PROGRAM, YOU AGREE TO THESE TERMS.
IF YOU DO NOT AGREE TO THESE TERMS, YOU MAY NOT PARTICIPATE IN THE PROGRAM.
1. Program Overview
The Modachron Creator & Influencer Program (the “Program”) allows approved creators, influencers, ambassadors, affiliates, and other eligible participants (“Creators,” “you,” or “your”) to promote Modachron and eligible Modashop products and earn performance-based commissions and other rewards for qualifying activity. The Program may allow Creators to earn commissions from: 1. qualifying premium subscription revenue generated by users referred by the Creator; 2. qualifying Modashop purchases generated by the Creator; 3. promotional campaigns; 4. bonuses and competitions; 5. approved Creator referral programs; and 6. other opportunities that Modachron may make available from time to time. Participation in the Program does not guarantee any minimum amount of compensation, traffic, sales, followers, customers, or revenue.
2. Modachron
Modachron is a fashion discovery, social, wardrobe, recommendation, and commerce platform. The platform may allow users to:
- discover fashion content;
- create and share outfits;
- organize or upload wardrobe items;
- receive personalized fashion recommendations;
- interact with other users and Creators;
- discover products;
- purchase eligible products through Modashop; and
- participate in other features made available by Modachron.
The Program is designed to allow Creators to introduce people to the Modachron ecosystem and receive performance-based compensation when qualifying referred users generate eligible revenue.
3. Acceptance of These Terms
You accept these Terms when you:
- submit an application to the Program;
- accept an invitation to the Program;
- click an acceptance button or checkbox referencing these Terms;
- access your Creator dashboard after being presented with these Terms; or
- otherwise participate in the Program after receiving notice of these Terms.
If you participate on behalf of a company, agency, organization, or other legal entity, you represent that you have authority to bind that entity to these Terms. In that situation, “you” includes both you individually and the entity you represent.
4. Eligibility
To participate, you must: 1. be legally capable of entering into a binding contract; 2. provide accurate registration information; 3. maintain an account in good standing; 4. provide accurate payment information; 5. comply with these Terms; 6. comply with applicable laws and regulations; 7. comply with the rules of the social-media platforms you use; 8. comply with applicable advertising and disclosure requirements; and 9. satisfy any additional eligibility requirements communicated by Modachron. Modachron may restrict participation based on:
- location;
- age;
- account status;
- platform availability;
- legal requirements;
- fraud risk;
- program capacity;
- Creator category; or
- other legitimate business reasons.
5. Minimum Age
Unless otherwise stated by Modachron in writing, you must be at least eighteen (18) years old to participate in the Program. If Modachron permits participation by individuals under eighteen (18), participation must be subject to any additional parental or guardian consent and other requirements required by applicable law. Creators must not misrepresent their age.
6. Program Access
During the initial launch period, Modachron may operate the Program on an invite-only basis. Creators may be admitted through:
- direct invitation from Modachron;
- invitation from a Modachron founder;
- referral from an existing approved Creator;
- application and approval; or
- another method designated by Modachron.
Modachron may approve or reject any application at its sole discretion, subject to applicable law. Admission to the Program does not guarantee continued participation.
7. Founding Creator Program
Modachron may initially invite a limited group of approximately five (5) to ten (10) Creators to participate as Founding Creators. Founding Creators may receive special benefits, which may include:
- Founding Creator status;
- special profile recognition;
- early access to features;
- direct communication with Modachron;
- launch bonuses;
- product opportunities;
- campaign opportunities; and
- other benefits communicated by Modachron.
Founding Creator status does not create a permanent employment, partnership, ownership, or equity interest in Modachron. Unless otherwise agreed in a separate written agreement, Founding Creators remain independent contractors.
8. Creator Status
Participation in the Program does not make you:
- an employee of Modachron;
- a partner of Modachron;
- an agent of Modachron;
- a franchisee;
- a joint venturer;
- an authorized legal representative; or
- an owner of Modachron.
You may not represent that you have authority to:
- enter contracts on behalf of Modachron;
- make guarantees on behalf of Modachron;
- bind Modachron to any obligation; or
- speak officially for Modachron unless specifically authorized.
9. Independent Contractor Relationship
You participate as an independent contractor. You are responsible for:
- your own taxes;
- your own equipment;
- your own internet and communications costs;
- your own content production expenses unless otherwise agreed;
- your own business expenses; and
- compliance with laws applicable to your independent activities.
Nothing in these Terms creates an employment relationship.
10. Creator Accounts
You may be required to create a Creator account. You agree to provide accurate and current information, including:
- legal name;
- Creator/brand name;
- social-media handles;
- email address;
- country;
- payment information;
- tax information where required; and
- any information reasonably necessary to administer the Program.
You are responsible for maintaining the security of your account credentials. You must notify Modachron promptly if you believe your account has been compromised. You may not:
- share your Creator account;
- sell your Creator account;
- transfer your Creator account without written permission;
- create duplicate accounts for purposes of obtaining additional rewards; or
- impersonate another person or Creator.
11. Creator Tiers
Modachron may establish Creator tiers, including: Creator An approved participant who can generate referrals and participate in eligible activities. Verified Creator A Creator who satisfies additional performance, quality, activity, or trust requirements. Ambassador A high-performing Creator who receives additional opportunities or benefits. Elite or Partner Creator A Creator who enters into an additional relationship with Modachron based on performance, strategic value, audience, content, or other factors. Modachron may modify, add, remove, or rename tiers. Unless expressly stated in writing, a Creator tier does not guarantee compensation.
12. Commission Structure
The current standard referral commission structure is:

The applicable commission is calculated from eligible revenue generated by a qualifying referred user during the applicable earning period. The earning period begins on the date the referred user completes their first qualifying payment, unless Modachron specifies otherwise for a particular campaign.
13. Premium Subscription Commissions
For eligible premium subscriptions: Months 1–3 Creator earns twenty percent (20%) of eligible net subscription revenue attributable to the referred user. Months 4–12 Creator earns ten percent (10%) of eligible net subscription revenue attributable to the referred user. After Month 12 No standard recurring referral commission is earned for that user unless Modachron provides otherwise in writing.
14. Example of Premium Commissions
For illustration only: A referred user pays Modachron $10 per month. During months 1–3: 20% × $10 = $2 per month. During months 4–12: 10% × $10 = $1 per month. Actual commissions may differ because of:
- discounts;
- refunds;
- chargebacks;
- taxes;
- payment failures;
- promotional pricing;
- currency conversion;
- subscription changes; or
- other adjustments.
15. Modashop Commissions
Modachron may pay Creators commissions for eligible Modashop purchases generated through approved Creator referral mechanisms. Because physical commerce may involve:
- product costs;
- vendor payments;
- shipping;
- taxes;
- discounts;
- returns;
- refunds;
- payment processing;
- chargebacks; and
- other transaction costs,
Modachron may establish separate commission rates for Modashop transactions. The applicable rate will be displayed in the applicable Creator dashboard, campaign terms, or other written Program materials. Unless expressly stated otherwise, the subscription commission schedule in Section 12 does not automatically establish the commission rate for every Modashop product or campaign.
16. Eligible Net Revenue
For purposes of commission calculations, “Eligible Net Revenue” means revenue actually received and retained by Modachron or the applicable participating merchant from a qualifying transaction, after applicable:
- refunds;
- returns;
- chargebacks;
- cancellations;
- taxes;
- discounts;
- credits;
- payment reversals; and
- other amounts expressly excluded by the applicable Program or campaign terms.
Modachron may exclude revenue that it reasonably determines does not qualify for commission.
17. No Guaranteed Compensation
You understand that participation is performance-based. Modachron does not guarantee:
- a minimum number of referrals;
- a minimum number of views;
- a minimum number of customers;
- a minimum amount of revenue;
- a minimum commission;
- a minimum number of campaigns; or
- any particular income.
Past Creator performance is not a guarantee of future results.
18. Referral Links
Each approved Creator may receive a unique referral URL. A standard referral URL may use the following format: modachron.com/i/{handle} A campaign-specific URL may use: modachron.com/i/{handle}/{campaign} Modachron may change URL structures, domains, tracking systems, or attribution technology when reasonably necessary.
19. Referral Codes
Modachron may provide Creators with unique promotional or referral codes. A Creator may use the code in:
- social posts;
- video descriptions;
- captions;
- profiles;
- campaigns;
- messages;
- approved advertisements; or
- other permitted promotional channels.
Creators may not:
- sell referral codes;
- purchase their own referral codes;
- use deceptive coupon websites;
- misrepresent discounts;
- create unauthorized discount offers; or
- modify Modachron’s pricing.
20. Attribution
Modachron may use:
- referral URLs;
- cookies;
- pixels;
- device identifiers;
- app attribution technology;
- referral codes;
- campaign identifiers;
- account identifiers;
- first-party data; and
- other reasonable attribution technologies
to determine whether a user was referred by a Creator.
21. App Install Attribution
Because Modachron may operate through mobile applications, attribution may involve:
- Creator link
- Landing page
- App Store / Google Play
- App installation
- Account creation
- Creator attribution
- Qualifying payment
Modachron may use a third-party attribution provider to connect these events. Attribution is subject to the capabilities and limitations of the applicable technology, operating systems, privacy controls, and user settings. Modachron does not guarantee that every click or installation can be attributed.
22. Multiple Creator Referrals
If a user interacts with multiple Creators, Modachron may use its designated attribution rules to determine which Creator receives credit. Unless otherwise specified, Modachron’s attribution system and records will control commission attribution. Creators may not manipulate attribution in order to claim credit for users acquired by another Creator.
23. Existing Users
A user who already has an existing Modachron account may not qualify as a new referred user solely because the user later clicks a Creator link or uses a Creator code. Modachron may establish additional rules for reactivation campaigns or other promotional programs.
24. Attribution Disputes
If you believe a qualifying referral was incorrectly attributed, you must submit a support request within the period specified by Modachron. You may be required to provide:
- date of referral;
- URL used;
- promotional content;
- screenshots;
- campaign information; and
- other relevant information.
Modachron will review reasonable disputes in good faith. Modachron’s internal attribution records will generally control unless there is clear evidence of an error.
25. Earnings Status
Creator earnings may be classified as: Pending Commission associated with a transaction that has not yet cleared. Available Commission that has cleared and is eligible for withdrawal. Paid Commission that has been successfully sent to the Creator.
26. Minimum Payout
The standard minimum withdrawal amount is: $20 USD A Creator may request a withdrawal once the Creator’s available balance reaches at least $20, subject to:
- account verification;
- payment verification;
- fraud review;
- applicable tax requirements;
- chargeback or refund adjustments; and
- other legitimate payment requirements.
Modachron may establish a different minimum for specific campaigns or Creator tiers.
27. Founding Creator Payout Threshold
During the initial Founding Creator period, Modachron may permit withdrawals beginning at: $10 USD Modachron may discontinue this temporary threshold and return to the standard $20 minimum.
28. Payout Method
Modachron may use one or more third-party payment providers to process Creator payments. Creators may be required to provide:
- legal name;
- address;
- tax information;
- payment account information;
- identity verification; and
- other information required by the payment provider.
Modachron is not responsible for delays caused by inaccurate payment information supplied by a Creator.
29. Payment Timing
Modachron may establish payout schedules, including:
- on-demand payouts;
- weekly payouts;
- biweekly payouts;
- monthly payouts; or
- another schedule communicated to Creators.
During beta testing, Modachron may process payments manually. Payment processing may be delayed for:
- fraud reviews;
- chargebacks;
- payment-provider issues;
- missing tax information;
- account verification;
- legal requirements; or
- other legitimate reasons.
30. Taxes
Creators are responsible for determining and paying all taxes associated with their earnings. Modachron may:
- request tax forms;
- collect taxpayer identification information;
- issue tax reporting forms;
- withhold amounts where legally required; and
- comply with applicable tax reporting requirements.
Nothing in these Terms constitutes tax advice. Creators should consult their own tax professionals.
31. Refunds, Returns & Chargebacks
If a transaction generating a commission is later:
- refunded;
- returned;
- cancelled;
- reversed;
- charged back;
- determined to be fraudulent; or
- otherwise invalidated,
Modachron may reverse the corresponding commission. If the commission has already been paid, Modachron may offset the amount against future commissions or, where legally permitted, seek repayment.
32. Bonuses
Modachron may offer performance bonuses. Current proposed bonuses include:

- Most Modashop Revenue;
- Most New Users;
- Creator of the Month;
- Most Engagement;
- Best Content;
- Campaign Winner; or
- other awards.
33. Bonus Periods
Unless otherwise stated, bonuses may be offered monthly, quarterly, or for specific campaigns. Each competition may specify:
- start date;
- end date;
- eligibility;
- qualifying activity;
- prize;
- tie-breaking rules; and
- disqualifying conduct.
Modachron’s determination of qualifying performance will control absent manifest error.
34. No Guarantee of Bonuses
Bonuses are discretionary promotional incentives. Modachron may:
- change bonus amounts;
- change eligibility;
- cancel a competition before it begins;
- extend a competition;
- disqualify fraudulent entries; or
- introduce new competitions.
Once a Creator has legitimately earned a published prize under the applicable rules, Modachron will honor the prize subject to verification and applicable law.
35. Creator Referrals
Modachron may allow Creators to refer other Creators. A Creator may receive a referral reward when another person: 1. uses the Creator’s approved referral mechanism; 2. successfully joins the Program; 3. satisfies the applicable eligibility requirements; and 4. completes any required activation activity. The exact reward will be communicated through the applicable Creator referral campaign. Creators may not create fake Creator accounts to earn referral rewards.
36. Content Requirements
Creators may create content including:
- TikTok videos;
- Instagram Reels;
- Instagram posts;
- YouTube videos;
- YouTube Shorts;
- photographs;
- livestreams;
- stories;
- blog posts;
- outfit content;
- wardrobe content;
- styling content; and
- other approved formats.
37. Truthful Representations
Creators must only make truthful statements about Modachron and products they promote. Creators must not:
- invent product features;
- make false claims;
- guarantee results;
- make unsupported earnings claims;
- falsely claim to have used a product;
- falsely claim to have purchased a product;
- misrepresent Modachron’s pricing;
- misrepresent discounts; or
- make claims that Modachron has not authorized or cannot substantiate.
The FTC’s endorsement guidance emphasizes that endorsements must be truthful and not misleading and that endorsers should not discuss experiences they have not actually had.
38. Required Disclosures
Creators must clearly and conspicuously disclose their material relationship with Modachron when promoting Modachron or eligible products. A material relationship may include:
- commissions;
- free products;
- discounted products;
- bonuses;
- payments;
- prizes;
- campaign compensation; or
- other valuable benefits.
Examples of disclosures may include: #ad #affiliate I earn a commission from purchases made through my link. I may earn a commission if you sign up through my link. The disclosure must be understandable and reasonably noticeable to the audience. The FTC specifically advises influencers to disclose financial or other material connections and to place disclosures where viewers can easily notice them.
39. Disclosures in Video
For video content, a disclosure should not be hidden exclusively in a description when the applicable rules require the disclosure to be presented with the endorsement. Where appropriate, Creators should include the disclosure:
- visually in the video;
- audibly in the video;
- in the caption; or
- through another conspicuous method appropriate to the platform.
40. Creator Responsibility for Disclosures
Creators are responsible for ensuring that their posts comply with applicable advertising laws and platform policies. A Creator may not rely solely on Modachron to determine whether a particular disclosure is legally sufficient. Modachron may provide suggested disclosure language, but the Creator remains responsible for compliance.
41. Fake Reviews and Testimonials
Creators may not:
- create fake reviews;
- create fake testimonials;
- submit reviews for products they did not experience;
- falsely claim to have used Modachron;
- fabricate customer experiences;
- impersonate customers; or
- participate in deceptive review campaigns.
Modachron will not require a Creator to provide a positive review as a condition of receiving compensation. The FTC’s current rule prohibits specified deceptive review and testimonial practices and addresses incentives conditioned on particular positive or negative sentiment.
42. Honest Opinions
Nothing in these Terms requires a Creator to express a positive opinion about Modachron or a product. Creators may provide honest opinions. Creators should accurately describe their actual experiences. Modachron will not penalize a Creator solely for expressing a lawful, honest negative opinion.
43. Fake Followers and Engagement
Creators may not:
- purchase fake followers;
- purchase fake views;
- purchase fake likes;
- purchase fake comments;
- use bots;
- use engagement farms;
- manipulate analytics;
- use automated accounts to generate referrals; or
- otherwise artificially inflate performance.
The FTC’s current rule addresses the misuse of fake social-media indicators, including fake followers and views, in commercial contexts.
44. Prohibited Traffic Sources
Unless Modachron expressly approves otherwise, Creators may not generate referrals through:
- malware;
- spyware;
- phishing;
- deceptive redirects;
- forced clicks;
- clickjacking;
- automated traffic;
- bots;
- fraudulent websites;
- misleading advertisements;
- impersonation;
- unauthorized paid search bidding on Modachron trademarks;
- deceptive coupon sites; or
- other prohibited traffic methods.
45. Spam
Creators may not use unsolicited bulk messages to promote Modachron where prohibited by applicable law or platform rules. Creators must comply with applicable:
- anti-spam laws;
- platform rules;
- privacy laws; and
- direct marketing requirements.
46. Paid Advertising
Creators may not purchase advertisements using Modachron trademarks or branded search terms unless Modachron gives prior written approval. Modachron may establish separate rules for paid Creator advertising campaigns.
47. Intellectual Property
Modachron and its licensors own all rights in:
- Modachron trademarks;
- logos;
- names;
- designs;
- software;
- platform interfaces;
- proprietary materials;
- marketing materials;
- documentation; and
- other Modachron intellectual property.
Participation does not transfer ownership of any Modachron intellectual property to a Creator.
48. Limited Trademark License
During participation in the Program, Modachron may grant you a limited, non-exclusive, non-transferable, revocable license to use approved Modachron names, logos, and promotional materials solely for authorized Program activities. You may not:
- modify the logo;
- register confusingly similar domains;
- register confusingly similar social accounts;
- imply sponsorship beyond your actual relationship;
- use Modachron branding for unrelated products; or
- continue using Modachron materials after termination when instructed to stop.
49. Creator Content Ownership
Except as otherwise agreed in writing, you retain ownership of original content that you independently create. However, by submitting content to Modachron for Program purposes, you grant Modachron the license described below.
50. License to Creator Content
You grant Modachron a worldwide, non-exclusive, royalty-free, transferable, sublicensable license during the applicable license period to use, reproduce, display, distribute, repost, resize, crop, format, and otherwise use Creator Content that you submit to Modachron for:
- Program administration;
- Creator promotion;
- Modachron social media;
- Modachron website;
- Modachron application;
- Creator discovery;
- campaign promotion;
- internal marketing; and
- other purposes expressly communicated to you.
Unless otherwise agreed, this license does not transfer ownership of the Creator Content.
51. Paid Advertising Rights
Modachron will not automatically receive unlimited rights to use Creator Content in paid advertising solely because the content was posted under this Program. If Modachron wishes to use Creator Content in:
- paid advertisements;
- whitelisting;
- Spark Ads;
- dark posts;
- television;
- out-of-home advertising;
- major commercial campaigns; or
- other paid media,
Modachron may request additional permission or enter into a separate agreement with the Creator.
52. Creator Representations
You represent and warrant that: 1. you own or have the necessary rights to the content you submit; 2. your content does not knowingly infringe another person’s intellectual property; 3. you have obtained required permissions from identifiable individuals appearing in your content where required; 4. your content does not knowingly violate applicable law; 5. your content is not fraudulent; 6. your claims are truthful; 7. you have authority to enter these Terms; and 8. your participation does not violate another agreement applicable to you.
53. Third-Party Rights
Creators may not use:
- copyrighted music;
- trademarks;
- photographs;
- videos;
- celebrity likenesses;
- logos;
- third-party content; or
- other protected material
unless they have the necessary rights or permission. Creators are responsible for obtaining any required permissions.
54. Privacy
Creator information may be collected and processed for:
- Program administration;
- identity verification;
- payments;
- tax reporting;
- attribution;
- fraud prevention;
- analytics;
- communications;
- customer support; and
- legal compliance.
Modachron’s separate Privacy Policy governs applicable processing of personal information.
55. Creator Data
Information collected may include:
- legal name;
- email;
- social handles;
- platform information;
- referral activity;
- clicks;
- installs;
- conversions;
- earnings;
- payment information;
- tax information;
- content performance; and
- other Program information.
Creators should not submit unnecessary sensitive personal information.
56. Confidentiality
During participation, you may receive non-public information about Modachron, including:
- unreleased features;
- campaign information;
- business plans;
- creator information;
- product information;
- financial information;
- technical information; or
- other confidential information.
You agree not to disclose confidential information except:
- with Modachron’s permission;
- to professional advisers who are bound to confidentiality; or
- when disclosure is legally required.
57. Confidential Information Does Not Include
Confidential information does not include information that:
- is publicly available through no fault of yours;
- was already lawfully known to you;
- is independently developed without use of confidential information; or
- is lawfully received from a third party without a confidentiality obligation.
58. Modachron Communications
By participating, you may receive:
- Program emails;
- payout notifications;
- campaign opportunities;
- Creator announcements;
- product opportunities;
- account notices; and
- other operational communications.
You may unsubscribe from promotional communications where legally permitted. Operational communications may still be sent when necessary to administer your account.
59. Creator Support
Modachron may provide Creator support through:
- email;
- dashboard support;
- messaging;
- community channels; or
- other designated methods.
Support availability is not guaranteed unless otherwise stated.
60. Program Changes
Modachron may modify the Program from time to time. Changes may include:
- commission rates;
- bonus amounts;
- eligibility requirements;
- payout thresholds;
- attribution rules;
- Creator tiers;
- campaign rules; and
- Program features.
For material adverse changes, Modachron will provide notice as required by applicable law or these Terms. Changes will generally apply prospectively unless otherwise permitted by law.
61. Commissions Already Earned
Except where a commission is determined to have resulted from:
- fraud;
- invalid transactions;
- chargebacks;
- refunds;
- prohibited conduct;
- attribution manipulation; or
- another legitimate reversal,
Modachron will not intentionally cancel valid commissions solely because a future commission rate changes.
62. Suspension
Modachron may temporarily suspend a Creator’s account or commissions when reasonably necessary to investigate:
- suspected fraud;
- unusual traffic;
- chargebacks;
- account compromise;
- prohibited advertising;
- legal compliance concerns;
- payment issues; or
- other suspected violations.
During a good-faith investigation, payouts may be delayed.
63. Termination By Modachron
Modachron may terminate or restrict participation when:
- you materially violate these Terms;
- you engage in fraud;
- you manipulate attribution;
- you engage in deceptive advertising;
- you violate applicable law;
- you misuse Modachron intellectual property;
- you create security risks;
- you engage in abusive conduct;
- you repeatedly violate Program rules; or
- Modachron discontinues the Program.
64. Termination By Creator
You may stop participating at any time by contacting Modachron or following the available account termination process. Unless otherwise required by law, termination does not automatically eliminate valid commissions already earned before termination. However, pending commissions remain subject to:
- transaction validation;
- refunds;
- chargebacks;
- fraud review;
- applicable Program rules; and
- other legitimate adjustments.
65. Effect of Termination
Upon termination:
- referral links may stop functioning;
- Creator access may be disabled;
- new commissions may stop accruing;
- promotional permissions may end;
- Modachron branding must no longer be used as directed;
- confidential information must remain protected; and
- surviving contractual provisions remain effective.
66. Survival
The following provisions survive termination where applicable:
- intellectual property;
- confidentiality;
- payment obligations;
- tax obligations;
- indemnification;
- limitation of liability;
- dispute resolution;
- governing law;
- arbitration/class-action provisions, if applicable; and
- any provisions that by their nature should survive termination.
67. Prohibited Conduct
Creators may not:
- commit fraud;
- impersonate Modachron;
- impersonate another Creator;
- manipulate attribution;
- create fake transactions;
- self-refer for commissions;
- use stolen payment information;
- engage in unlawful activity;
- distribute malware;
- engage in harassment;
- engage in discrimination;
- exploit minors;
- publish private information;
- use deceptive advertising;
- purchase fake engagement for commercial purposes;
- infringe intellectual property; or
- interfere with Modachron’s systems.
68. Self-Referrals
You may not refer yourself, including through:
- another account;
- a family member’s account;
- a controlled business;
- a duplicate account;
- a device or payment method used to circumvent Program rules; or
- any other arrangement designed to generate commissions on your own purchases or subscriptions.
69. Employees and Related Parties
Modachron may exclude purchases, subscriptions, or transactions associated with:
- Modachron employees;
- founders;
- contractors;
- related entities;
- testing accounts; or
- other accounts designated by Modachron
from commission eligibility where appropriate.
70. Creator Competitions
Where Modachron conducts Creator competitions, the specific campaign rules will govern. Campaign rules may include:
- eligibility;
- submission requirements;
- deadlines;
- judging criteria;
- prizes;
- tie-breakers;
- disclosure requirements;
- prohibited conduct; and
- content rights.
If campaign-specific rules conflict with these Terms, the campaign-specific rules will control only for that campaign.
71. No Employment Benefits
Creators are not entitled to:
- wages;
- overtime;
- health insurance;
- retirement benefits;
- unemployment benefits;
- paid leave; or
- other employee benefits
from Modachron solely because they participate in the Program.
72. Indemnification
To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Modachron, its affiliates, officers, directors, employees, contractors, agents, licensors, and service providers from claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising from or relating to: 1. your breach of these Terms; 2. your unlawful conduct; 3. your Creator Content; 4. your violation of another person’s rights; 5. your violation of advertising laws; 6. your violation of platform rules; 7. fraud or misconduct by you; 8. your use of Modachron intellectual property outside the permitted license; or 9. your tax obligations. This provision does not require indemnification to the extent prohibited by applicable law.
73. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PROGRAM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.
MODACHRON DOES NOT GUARANTEE THAT:
- THE PROGRAM WILL ALWAYS BE AVAILABLE;
- THE PROGRAM WILL BE ERROR-FREE;
- ATTRIBUTION WILL ALWAYS BE PERFECT;
- PAYMENTS WILL NEVER BE DELAYED;
- THE PLATFORM WILL ALWAYS OPERATE WITHOUT INTERRUPTION;
- A CREATOR WILL EARN ANY PARTICULAR AMOUNT; OR
- ANY CAMPAIGN WILL PRODUCE A PARTICULAR RESULT.
74. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MODACHRON WILL NOT BE LIABLE FOR:
- INDIRECT DAMAGES;
- INCIDENTAL DAMAGES;
- CONSEQUENTIAL DAMAGES;
- SPECIAL DAMAGES;
- LOST PROFITS;
- LOST BUSINESS;
- LOST OPPORTUNITIES; OR
- LOSS OF DATA
arising out of or related to your participation in the Program.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MODACHRON’S TOTAL LIABILITY ARISING FROM THE PROGRAM WILL NOT EXCEED THE GREATER OF:
1. The Amount Modachron Paid or Owed to You Under the Program During the Twelve (12) Months Before the Event Giving Rise to the Claim; or
2. $100. Nothing in these Terms limits liability that cannot legally be limited or excluded.
75. Dispute Resolution
Before initiating formal legal proceedings, the parties agree to attempt in good faith to resolve disputes informally. A party seeking to raise a dispute should provide written notice describing:
- the nature of the dispute;
- relevant facts;
- requested resolution; and
- contact information.
The parties should attempt to resolve the matter for at least thirty (30) days before initiating formal proceedings, unless emergency or applicable law requires otherwise.
76. Governing Law
These Terms shall be governed by the laws of the State of New Jersey, without regard to conflict-of-law principles, except to the extent federal law or another mandatory law applies.
77. Venue
Subject to the dispute-resolution provisions below, any permitted court proceeding shall be brought in the state or federal courts located in the State of New Jersey, unless applicable law requires otherwise.
78. Optional Arbitration Provision
ATTORNEY REVIEW REQUIRED BEFORE USE To the extent permitted by applicable law, Modachron may require disputes to be resolved through individual binding arbitration rather than court litigation. If Modachron adopts arbitration, the final version of these Terms should specify:
- arbitration provider;
- governing arbitration rules;
- location;
- fee allocation;
- procedure for initiating arbitration;
- small-claims exception;
- emergency relief;
- class-action waiver; and
- any legally required opt-out mechanism.
Do not activate this section without attorney review.
79. Class Action Waiver
ATTORNEY REVIEW REQUIRED BEFORE USE To the extent permitted by applicable law, the final agreement may provide that disputes must be brought individually and not as a class, collective, or representative action. This provision should not be activated without jurisdiction-specific legal review.
80. Severability
If any provision of these Terms is found invalid or unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.
81. Waiver
A failure by Modachron to enforce any provision of these Terms does not constitute a waiver of its right to enforce that provision later.
82. Assignment
You may not assign or transfer your rights or obligations under these Terms without Modachron’s prior written consent. Modachron may assign these Terms in connection with:
- a merger;
- acquisition;
- corporate restructuring;
- sale of substantially all assets; or
- other legitimate business transaction.
83. Entire Agreement
These Terms, together with:
- applicable campaign rules;
- Modachron’s Privacy Policy;
- applicable Modachron Terms of Service;
- applicable payout rules; and
- other documents expressly incorporated by reference
constitute the agreement governing your participation in the Program.
84. Order of Precedence
If documents conflict: 1. a signed written agreement specifically applicable to the Creator; 2. campaign-specific terms; 3. these Creator Program Terms; 4. general Program policies; will generally control in that order, unless otherwise stated.
85. Electronic Agreement
You agree that clicking an acceptance button, checking a box, or otherwise electronically accepting these Terms constitutes your electronic signature and agreement. Electronic records may be retained as evidence of acceptance.
86. Notices
Notices may be provided through:
- email;
- Creator dashboard;
- in-app notification;
- website notice; or
- another reasonable electronic method.
Creators are responsible for maintaining a current email address.

88. Creator Acknowledgment
By joining the Modachron Creator & Influencer Program, you acknowledge that:
- you have read these Terms;
- you understand the commission structure;
- you understand that commissions are performance-based;
- you understand that commissions may be reversed for refunds or invalid transactions;
- you understand the $20 minimum withdrawal requirement;
- you understand that the Founding Creator threshold may temporarily be $10;
- you understand your disclosure obligations;
- you understand that you are an independent contractor;
- you understand that you are responsible for your taxes;
- you agree not to manipulate attribution;
- you agree not to use fake engagement;
- you agree to comply with applicable laws and platform policies; and
- you agree to these Terms.
